Delaware One Stop Business Registration for HVAC Contractors

The Step Between Your Trade License and Your First Permit

Getting your Master HVACR or Master HVACR Restricted license from the Division of Professional Regulation proves you are technically competent. It does not give you the legal authority to operate a business, bid on projects, or pull permits. For that, you need to register through the Delaware One Stop portal and complete contractor registration with the Department of Labor.

Many new license holders discover this gap only when they try to pull their first mechanical permit and the county office asks for a business license they do not have.

Division of Revenue Business License

The Delaware One Stop portal (onestop.delaware.gov) is where you apply for your state business license through the Division of Revenue. The annual fee is $75, prorated based on the month you apply. Licenses must be renewed by December 31 each year.

The portal issues a temporary printable license immediately after online registration. The permanent license follows by mail. You need this license to register with the Department of Labor and to apply for county-level contractor licenses.

Entity options: Sole proprietors can register directly through One Stop without first forming a business entity. LLCs, partnerships, and corporations must register with the Division of Corporations before applying for the business license.

Gross Receipts Tax

Delaware does not charge a retail sales tax. Instead, HVAC contractors pay a gross receipts tax of 0.624% on taxable gross receipts exceeding $50,000 per month. This is not income tax — it is calculated on total revenue before expenses.

If you use licensed subcontractors on a project, you can reduce your taxable receipts by the amount paid to those subcontractors using Form 1280. Keep clean records of subcontractor payments and verify that every sub holds a valid Delaware contractor registration, because the deduction only applies to payments made to registered subcontractors.

Department of Labor Contractor Registration

Under the Delaware Contractor Registration Act (19 Del. C. Chapter 36), any business performing construction or maintenance services must register with the DOL Office of Contractor Registration before bidding on or starting any work. This is separate from and additional to the Division of Revenue business license.

Registration fees:

• $200/year for private construction work only
• $300/year for public construction work only
• $500/year for both private and public
• After two consecutive violation-free years: biennial renewal at a reduced rate ($300 private, $500 public)

Required documentation:

• Proof of Delaware workers' compensation insurance (or an approved exemption)
• Unemployment insurance registration (Form UC-1)
• An OSHA-compliant written safety plan

Penalties for non-compliance: Operating without DOL contractor registration carries civil penalties from $5,000 to $85,000 per violation. The DOL also has authority to issue stop-work orders.

Appeals: If the DOL denies or revokes your registration, you can appeal to the Secretary of Labor, with further appeal rights to the Delaware Superior Court.

Non-Resident Contractors

Out-of-state HVAC contractors face an additional requirement: a surety bond equal to 6% of the value of all contracts totaling $20,000 or more, securing the state's tax interest. You also need to designate a Delaware registered agent for service of process.

The bond requirement applies specifically to non-residents — Delaware-based contractors do not need this state-level bond (though county-level bonds like New Castle County's $25,000 Statutory Compliance Bond apply to everyone).

Sequencing This Correctly

The correct order is:

1. State trade license (DELPROS → Board → ProV exam → issued license)
2. Business entity formation (if not sole proprietor)
3. Division of Revenue business license (Delaware One Stop)
4. Department of Labor contractor registration
5. County-level licensing and bonding

Starting business registration before holding the trade license violates state regulations. Pulling permits before completing DOL registration violates the Contractor Registration Act. The sequence matters.
