Vermont Unlicensed Contractor Penalties

The Attorney General Is Actively Enforcing

Since Vermont's OPR Residential Contractor Registration launched in 2023, the Attorney General's office has been pursuing enforcement actions against unregistered contractors. This isn't a paper requirement that sits unenforced — the AG has publicly announced crackdowns on contractors operating without registration on projects over $10,000.

The penalties are structured to hurt. Under 26 V.S.A. § 5510(a), failing to register when required is unauthorized practice subject to an injunction or civil penalty under 3 V.S.A. § 127. Deceptive acts in commerce are separately unlawful under 9 V.S.A. § 2453; for a registrant, 26 V.S.A. § 5510(c)(3) treats that conduct as unprofessional conduct.

What the Penalties Look Like

Civil penalties up to $5,000. Unauthorized-practice proceedings under 3 V.S.A. § 127 can carry a civil penalty of not more than $5,000. The amount and number of violations depend on the enforcement action; do not assume that each contract automatically creates a separate penalty.

Consumer repayment and other relief. A consumer may seek repayment, damages, or other relief through a settlement or civil action, depending on the facts and legal basis.

Home Improvement Fraud Registry listing. Contractors convicted of home improvement fraud are permanently listed on the AG's public registry. This is a criminal conviction record, not just an administrative note. Homeowners, municipalities, and general contractors check this registry when vetting subs.

OPR disciplinary action. If you later register, any prior period of unregistered practice becomes part of your disciplinary record on the public "Find a Professional" directory.

The Indirect Penalties Are Worse

Beyond the fines, operating without registration undermines your legal rights:

Contract enforceability. Vermont's unauthorized-practice statute can bar an unlicensed person from instituting proceedings to enforce a right or obligation created while acting without authority. If a dispute arises over payment, the registration violation can therefore affect your ability to enforce the agreement in court.

Mechanics' lien standing. Vermont's mechanics' lien statute provides contractors with powerful payment protection — you can lien the property if you're not paid. But a contractor who wasn't properly registered at the time of the work has a compromised position when trying to enforce a lien. Opposing counsel will challenge your standing based on the registration deficiency.

Insurance claims. Some commercial liability policies include compliance conditions. Operating outside of legal requirements could complicate a liability claim if your insurer argues the work was performed in violation of state law.

The $10,000 Threshold Confusion

Some contractors believe they can avoid registration by keeping individual contracts under $10,000. Vermont anticipated this: the statute explicitly prohibits project-splitting — breaking a project into multiple smaller contracts to stay below the threshold. The fair market value of the total consideration determines whether registration applies.

Similarly, accepting barter or non-cash compensation doesn't reduce the project value. The threshold is calculated on fair market value regardless of the payment form.

What Unregistered Contractors Should Do

If you've been operating without OPR registration on qualifying projects, the pragmatic move is to register immediately. The application process takes a few business days and costs $75 (individual) or $250 (business). Getting compliant now doesn't erase past violations, but it stops the exposure from compounding.
