Your LLC Must Exist Before You Apply for a License

North Dakota will not issue a contractor license to an unregistered business entity. The name on your contractor license application must exactly match the business entity name registered with the Secretary of State. That means your LLC must be formed and approved before you submit a license application through the FirstStop Portal.

Getting this sequence backwards — applying for a contractor license before your LLC is registered — results in an automatic rejection. The system cross-references your application against the business registration database.

Forming a North Dakota LLC: $135

Filing Articles of Organization for a domestic LLC costs $135 through the Secretary of State's FirstStop Portal. The filing process is straightforward:

1. Go to the FirstStop Portal (firststop.sos.nd.gov)
2. Create an account or log in
3. Select "New Business Registration" and choose LLC as the entity type
4. Enter your LLC name, registered agent information, and organizer details
5. Pay the $135 filing fee

Allow 3 to 10 business days for the Secretary of State to process and approve the registration. Once approved, your LLC exists as a legal entity and you can proceed with the contractor license application.

The Name Matching Requirement

This trips up more contractors than any other administrative step. Three documents must carry the exact same business name:

1. Your LLC registration with the Secretary of State
2. Your Certificate of Liability Insurance (the insured entity name on the COLI)
3. Your contractor license application on FirstStop

If your LLC is registered as "Dakota Built Construction LLC" but your insurance certificate reads "Dakota Built Construction" (missing "LLC"), the license application gets rejected. If your LLC registration says "DBC Contracting, LLC" (with a comma) but the certificate says "DBC Contracting LLC" (without a comma), that mismatch can cause problems.

Before you purchase insurance or submit the license application, pull up your LLC's registered name from the Secretary of State's business search and copy it exactly — punctuation, capitalization, and all — to every other document.

LLC vs. Sole Proprietorship for Contractors

North Dakota doesn't require an LLC to get a contractor license. You can also operate as a sole proprietorship with a registered Trade Name ($25 filing fee) or as a partnership, C-Corporation, or S-Corporation.

But most contractors choose an LLC for practical reasons:

Liability protection. An LLC separates your personal assets from business liabilities. If a client sues your contracting business, your personal home, savings, and vehicles are generally protected (assuming you maintain proper separation between business and personal finances).

WSI interaction. A single-member LLC with no employees can file a Verification of Non-Employment with WSI and receive a Letter of Good Standing — the same process as a sole proprietor. The LLC structure doesn't change your WSI obligations.

Professional credibility. Municipal building departments, general contractors hiring subcontractors, and commercial clients often expect to see an LLC or corporation on your license.

Tax flexibility. An LLC can elect to be taxed as a sole proprietorship, partnership, S-Corp, or C-Corp, giving you flexibility to optimize your tax situation as the business grows.

The $135 LLC filing cost versus the $25 Trade Name cost is a modest difference for the protection and flexibility an LLC provides.

Registered Agent Requirement

Every North Dakota LLC must designate a registered agent with a physical street address in the state. The registered agent receives legal documents and official state notices on behalf of your business.

For a domestic LLC, you can serve as your own registered agent if you have a physical North Dakota address (not a P.O. Box). For out-of-state contractors filing a Foreign Qualification ($145), appointing a registered agent is mandatory — and it must be someone or some service physically present in North Dakota.

Commercial registered agent services charge $50 to $300 per year. Some attorneys who work with construction businesses include registered agent service as part of their engagement.

The Full Sequence for an LLC Contractor

Here's the order that avoids rejections and delays:

1. Form the LLC ($135 via FirstStop, 3-10 business day processing)
2. Get your FEIN from the IRS (free, immediate online)
3. Register with WSI (Certificate of Payment or Letter of Good Standing)
4. Register for Sales and Use Tax through the ND TAP portal (free)
5. Purchase general liability insurance — insured name must match the LLC name exactly; certificate holder must be the ND Secretary of State
6. Apply for your contractor license through FirstStop ($100–$450 based on class)

Skipping or reordering any step in this sequence delays the process. The most common mistake is purchasing insurance before confirming the LLC registration is approved, then discovering the insured name doesn't match because the Secretary of State requested a name modification.
