What the Exact Name Match Rule Requires

The Mississippi State Board of Contractors (MSBOC) enforces a strict "exact name" policy: every business contract, bid, permit application, and general liability insurance certificate must be executed under the precise legal entity name printed on your MSBOC Certificate of Responsibility. Not a shortened version. Not a trade name. Not the name on your truck. The exact legal name as it appears on your state license.

This rule sounds simple, but it catches contractors constantly — particularly plumbing businesses that operate day-to-day under a DBA or abbreviated name while their MSBOC license is registered under the full LLC or corporate name.

Why a Name Mismatch Matters

Conducting business under any name other than the one on your MSBOC license creates a chain of legal consequences:

Voided mechanic's liens. Mississippi courts have held that a contractor operating under a name that doesn't match their state license may lose the right to file and enforce a mechanic's lien against a property. For a plumbing contractor who completes $80,000 of commercial work and then can't collect because the lien was filed under "Smith Plumbing" instead of "Smith Plumbing Services LLC," the financial exposure is severe.

Where Name Mismatches Happen

The most common scenarios that create a mismatch:

Entity restructuring without MSBOC notification. A sole proprietor forms an LLC to limit personal liability but continues bidding under their personal name. The MSBOC license is in the sole proprietor's name; the LLC is a different legal entity. The contractor needs a new MSBOC application for the LLC.

Secretary of State name amendments. If you amend your LLC name with the Mississippi Secretary of State — adding a partner's name, changing from "Services" to "Solutions" — that amendment doesn't automatically flow through to your MSBOC license. You must notify the board and update your Certificate of Responsibility.

Insurance certificate errors. Your insurer issues a certificate of insurance with a slightly different business name than your MSBOC registration. Even a small variance ("LLC" vs. "L.L.C." vs. omitted entirely) can trigger a board rejection during application review or renewal.
